Presentation of the “Code of Conduct for Board Members” Guide

A board member is not merely a position or social status. It is a responsibility both toward the organisation and society. A board member’s stance, which may translate into corporate decisions, as well as their words and behavior, significantly influence corporate effectiveness, performance, and reputation.

With this consideration in mind, the Corporate Governance Center has developed the “Code of Conduct for Board Members” guide.

The Guide is not simply a collection of principles and rules. It aims to promote ethical and courageous leadership within Armenian organisations, reflected in board members’ ability to remain committed to corporate values and uphold their fiduciary duties.

On May 27, the Corporate Governance Center organised the presentation of the Guide, during which CGC Director Narine Melikyan presented and initiated discussions not only on the Guide itself, but also on the findings of the “Board and Corporate Ethics: A Situational Analysis of Armenian Companies” expert survey conducted by CGC.

Participants also had the opportunity to engage with and draw lessons from international experience in ethical board leadership, presented by Chris Hodge, Director of Governance Perspectives Ltd and Senior Advisor at Ethics & Boards.

The event was organised in collaboration with the Center for International Private Enterprise and as part of the “Responding to Threats of Corrosive Capital in Armenia. Phase III” project, funded by the UK International Development from the UK Government.
