«ՀՀ կորպորատիվ կառավարման նոր կանոնագիրքը. ներդրման և իրավակիրարկման հիմնախնդիրները» աշխատաժողովի արդյունքները

Կորպորատիվ Կառավարման Կենտրոնը ՀՀ էկոնոմիկայի նախարարության, Ասիական զարգացման բանկի, Միջազգային մասնավոր ձեռնարկատիրության կենտրոնի և ԱՄՆ առևտրի դեպարտամենտի Կոմերցիոն իրավունքի զարգացման ծրագրի հետ համատեղ սեպտեմբերի 24-ին հրավիրել էր «Հայաստանի Հանրապետության կորպորատիվ կառավարման նոր կանոնագիրքը. ներդրման և իրավակիրարկման հիմնախնդիրները» աշխատաժողովը:

Աշխատաժողովը նպատակ էր հետապնդում ոչ միայն ներկայացնել վերանայված կանոնագիրքը, այլև համատեղ ուժերով նախանշել դրա ներդրման և իրավակիրարկման մեխանիզմները, մեկտեղել քաղաքականություն մշակողների և շուկայի մասնակիցների մոտեցումները, բացահայտել կարիքները, ինչպես նաև հաշվի առնելով Հայաստանի տնտեսական և մշակութային առանձնահատկությունները` մոտենալ այն բանաձևին, որի միջոցով կորպորատիվ կառավարումը կդառնա հայաստանյան ընկերությունների օրակարգային հարց:

Աշխատաժողովի մասնակիցներին ողջույնի խոսք հղեցին Կոնստանտին Սարոյանը, Ուորեն Վիլսոնը, Դոն Լամբերտը, Լուիզա Այվազյանը, Մայքլ Քոֆիլդը և Նարինե Մելիքյանը։

Աշխատաժողովի նստաշրջաններում քննարկված հարցերի շրջանակում էին կորպորատիվ կառավարման ոլորտում պետական քաղաքականությունը, մասնավորապես՝ դրա համադրումը տնտեսական զարգացման, ներդրումների ներգրավման և շուկայի կայունության նպատակների հետ, կորպորատիվ կառավարման լավագույն գործելաոճի ներդրման ժամանակ պետության առջև ծառացող հիմնական խոչընդոտները, կորպորատիվ կառավարման միջոցով կոռուպցիոն ռիսկերի զսպումը, ESG գործոնների դերն այդ քաղաքականության ձևավորման հարցում, ինչպես նաև պետական ձեռնարկություններում կորպորատիվ կառավարման բարելավման հիմնական ուղղությունները:

Աշխատաժողովին հրավիրված միջազգային բանախոսները կիսվեցին «Հետևի՛ր կամ բացատրի՛ր» մոտեցման կիրառման միջազգային փորձով, ներկայացրին դրա ներդրման հիմնական շարժառիթներն ու նպատակները, կոշտ կարգավորման շրջանակների հետ դրա համադրումն ու հիմնական տարբերությունները: Անդրադարձ կատարվեց նաև կորպորատիվ կառավարման վարկանշավորմանը՝ որպես «Հետևի՛ր կամ բացատրի՛ր» մոտեցման կիրառումը և ընկերությունների կառավարման որակը բարելավող միջոցի:

Աշխատաժողովում հայաստանյան առաջադեմ ընկերությունների տնօրենների խորհրդի նախագահները խոսեցին կորպորատիվ կառավարման մշակույթի ձևավորման ու ամրապնդման գործում խորհրդի նախագահի դերի մասին և թե ինչպես կարող է կորպորատիվ կառավարման նոր կանոնագիրքն ազդել դրա ընդլայնման վրա:

Աշխատաժողովի մեկ ամբողջական նստաշրջան նվիրվել էր կորպորատիվ կառավարման ու կառուցողական կապիտալի կապին: Մասնավորապես քննարկվեցին, թե ինչպես կարող է կորպորատիվ կառավարման նոր կանոնագրքի ներդրումը նպաստել Հայաստան քայքայիչ օտարերկրյա կապիտալի ներհոսքի դեմ դիմադրողականության ամրապնդմանը: Նստաշրջանի մասնակիցները կորպորատիվ կառավարման նոր կանոնագրքի կիրառման համատեքստում դիտարկեցին հատուկ ընթացակարգերը, որոնք կարող են խթանել կառուցողական կապիտալի ներհոսքը և մեղմել քայքայիչ օտարերկրյա կապիտալի բացասական հետևանքները: Անդրադարձ կատարվեց նաև կորպորատիվ կառավարման կանոնագրքի ներդրումը խրախուսող այլընտրանքային կառուցակարգերին:

Աշխատաժողովն ավարտվեց ինտերակտիվ վարժանքով, որի միջոցով աշխատաժողովի մասնակիցները հնարավորություն ունեցան ներկայացնել կորպորատիվ կառավարման կանոնագիրքը ներդնելու սեփական մոտեցումներն ու հիմնական ուղիները:

Աշխատաժողովում որպես մոդերատոր և բանախոս հանդես են եկել Արման Բարխուդարյանը, Գագիկ Սարդարյանը, Գայ Ջաբբը, Գրիգոր Հովհաննիսյանը, Դավիթ Կարապետյանը, Դոն Լամբերտը, Ելենա Խաչվանքյանը, Եփրեմ Կարապետյանը, Կոնստանտին Սարոյանը, Հագեն Շվայնիցը, Հասմիկ Ղահրամանյանը, Հովսեփ Պատվականյանը, Մայք Լուբրանոն, Նարինե Մելիքյանը, Ռաֆայել Սարգսյանը,  Սևակ Միքայելյանը, Տիգրան Ջրբաշյանը, Քրիսթին Չոուն և Ֆլորիան Սոմմերը։
